Escrow ServicesAs your designated escrow agent, we are a neutral third party here to assist you in your business opportunity purchase and sale transaction. We will work with you, your agent, and other parties, in order to close your transaction in a timely and cost effective manner. As a neutral party, we will hold in our trust account the earnest money and the funds necessary to close the transaction pursuant to the purchase and sale agreement once all contingencies have been met and/or waived. As part of the escrow process, we order legal searches as requested by the parties and obtain tax information regarding the Seller's accounts with Department of Revenue, Employment Security Department, Department of Labor and Industries and county personal property tax information. We also draft the necessary escrow closing documents such as but not limited to the bill of sale, promissory note, security agreements, financing statements, fixture filings, use tax return, simple corporate resolutions/minutes, escrow instructions and closing/settlement statements. An attorney and/or paralegal will also be present at the closing. Once closing has occurred, we then disburse the funds held in trust and we record and file the bill of sale and any UCC financing documents with the county and state.
